Private equity firm McNally Capital has merged its portfolio company Quiet Professionals with Spathe Systems to create a defense technology platform aimed at expanding support for U.S. Special Operations Forces and the broader defense community. 

Chicago-based McNally said Thursday Quiet Professionals CEO Andy Wilson will lead the combined company, which is set to operate under a new name.

“This merger represents a significant milestone for our teams and for the SOF community we serve,” Wilson said. “By combining our strengths, talent, and proven track records, we are creating a single, integrated platform uniquely positioned to support our customers’ evolving missions with greater agility, scale, and technical excellence.”

McNally partnered with Nio Advisors in both transactions. Raymond James and Ropes & Gray served as McNally’s financial adviser and legal counsel, respectively. Venable provided government contracting counsel. Evergreen Advisors Capital served as the seller’s financial adviser and Foley & Lardner advised the seller on the deal’s legal aspect.

Who Will Lead the Combined Entity?

Wilson will lead the new platform company as chief executive. 

Spathe Systems CEO Aaron Herbst and President Mark Clifton will join the board of directors, continuing their leadership roles within the combined organization. 

Spathe Chief Operating Officer Adam Herbst, along with other members of Spathe’s leadership team, will remain in their positions to ensure operational continuity.

The combined entity will have more than 400 professionals supporting missions of defense, intelligence and national security customers worldwide.

What Do Quiet Professionals & Spathe Do?

Quiet Professionals, which secured a strategic investment from McNally in May, and Spathe Systems are veteran-owned companies headquartered in Tampa, Florida.

The companies support SOF and national security customers across several areas, including cybersecurity, intelligence, cloud services, advanced analytics, workforce development, training and defense operations.
